SD Finance plc, the financing arm of db Group, has announced that Philip Micallef will be retiring from his role as Director and as a member of its Audit Committee, with effect from today 31st December 2025.

The announcement was made by the company’s Board of Directors, which expressed its appreciation for Mr Micallef’s contribution during his tenure. The Board thanked him for his service and wished him well in his future endeavours.

The company also confirmed that there are no other matters concerning Mr Micallef that require disclosure under the Capital Markets Rules.

Over the course of his career Mr Micallef he has held CEO and Executive Chairman positions in several prominent organisations, including Air Malta, the Bermuda Regulatory Authority, Melita Cable, Malta Enterprise and the Malta Communications Authority.

His professional background spans the transformation of national markets, the strengthening of regulatory and governance frameworks, and the steering of organisations through periods of restructuring and heightened scrutiny. In more recent years, Mr Micallef has focused on non-executive roles, contributing independent oversight and strategic guidance across financial services, technology and insurance sectors, with particular involvement in audit, risk, compliance and IT committees.

SD Finance plc has not yet announced any appointments to fill the vacancy created by Mr Micallef’s retirement.
