9HCapital plc on Thursday (today) announced that it has appointed Joseph Sultana and Etienne Borg Cardona to its Board of Directors.
This comes on the same day that the long-awaited merger between ANCHOVY Studios plc and NIU Limited was completed, forming 9HCapital plc.
The merger process initially started in 2022, when ANCHOVY plc Co-Founders Zak and Benji Borg, together with NIU Ltd Co-Founders James Abela and Matthew Sammut, announced the formation of a comprehensive technology and digital services group, known as 9H Capital Ltd.
Following further discussions between the shareholders in 2023, a decision was taken so that the ownership of NIU Ltd would be fully transferred to ANCHOVY Studios plc, which in turn would be owned by 9H Capital, itself ultimately owned by ANCHOVY Studios plc and NIU Ltd’s current shareholders.
After the completion of the merger, 9HCapital announced that Lawrence Gonzi and Julian Mamo have both resigned from the positions as Non-Executive Directors of the company. As a result, they have been replaced by Mr Sultana and Dr Borg Cardona, with effect on the same day as the announcement.
In addition, Mr Sultana has been appointed Chairman of the Board of Directors, while Dr Borg Cardona has been named Chairman of the Audit Committee.
Furthermore, Mr [Zachary] Borg will be relinquishing his post as Audit Committee Member, while Mr [Benji] Borg has been appointed in his stead. Therefore, the Audit Committee will now be comprised of Dr Borg Cardona, Mr Sultana, and Mr Borg.
Mr Sultana has over 25 years of experience in creating, growing, and exiting technology businesses, together with significant mergers and acquisitions (M&A) experience around Europe. He is Co-Founder and investor of Ascent Software, a UK-based data, software, and platform engineering firm with over 500 heads and backed by Horizon Capital, a London-based private equity house.
Additionally, he is also Non-Executive Director at Infomate Limited, QRI Limited, and Ascent Software.
On the other hand, Dr Borg Cardona is a certified public accountant by profession and holds a Ph.D in Leadership and Management from Cranfield School of Management in the UK. He is a Fellow of the Association of Chartered Certified Accountants (ACCA) and of the Malta Institute of Accountants (MIA), where he was elected to Council between 2012 and 2021. He is currently a Council Member of the Institute of Financial Services Practitioners (IFSP) Malta, where he chairs the Directors’ and CSP Sub-committee, and is a Member of the Institute of Directors UK.
Dr Borg Cardona is Non-Executive Director of a number of companies, namely Affinity (Malta) Limited, APS Funds SICAV plc, Attard & Co Ltd, Avia Holdings Ltd, Chasophie Group Ltd, Debono Group Holdings Company Ltd, Falcon Energy Ltd, Insurem Insurance Ltd, JMV Group Limited, KA Finance plc, Main Street Complex plc, Phoenicia Finance Company plc, Sanob Investments Ltd, Signet Malta Finance Ltd, Stryker Malta Holdings Limited, and Vitasoy Holdings (Malta) Limited. His new role at 9HCapital takes this number up to 17 companies.
He is also Executive Director at Mistral Holdings Limited, Capital Advisory Limited, Scirocco Holdings Limited, Tramuntana Holdings Limited, and Bloom Research Limited.
